We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of the Services.

4. Subscription Plans and Payment Terms

4.1 Subscription Options

We offer various subscription plans:

• Premium Monthly: Full access to all content, billed monthly
• Premium Annual: Full access to all content, billed annually at a discounted rate
• Enterprise Plans: Custom solutions for organizations

4.2 Billing and Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount. Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy.

4.3 Price Changes

We reserve the right to change subscription prices at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods. Your continued use of the Services after a price change constitutes acceptance of the new price.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period. You will retain access to premium features until the end of the paid period.

4.5 Refund Policy

We offer a 14-day money-back guarantee for first-time subscribers. Refund requests must be submitted within 14 days of the initial purchase. Refunds are not available for subscription renewals or after the 14-day period, except as required by applicable law.

5. User Conduct and Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Share your account credentials with others or allow unauthorized access
• Download, copy, reproduce, distribute, or create derivative works from our content without permission
• Use automated systems (bots, scrapers) to access the Services
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload malicious code, viruses, or any harmful content
• Harass, abuse, or harm other users or our staff

• Reverse engineer, decompile, or disassemble any aspect of the Services

6. Intellectual Property Rights

6.3 User-Generated Content

You represent and warrant that you own or have the necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

IMPORTANT: The Services are designed for general wellness and stress reduction purposes only. Our meditation content and wellness resources are NOT a substitute for professional medical advice, diagnosis, or treatment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESPIRITUAL NEXUS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Personal injury or property damage
• Business interruption or loss of business opportunities
• Any damages arising from your use or inability to use the Services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Espiritual Nexus, its officers, directors, employees, agents, licensors, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content or any content you submit
• Your breach of any representation or warranty

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing a formal claim, you agree to contact us at legal@espiritualnexus.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Mexican Arbitration Association. The arbitration shall be conducted in Guadalajara, Mexico, and judgment on the award may be entered in any court having jurisdiction.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.

11.4 Exceptions

Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or confidential information.

12. Governing Law and Jurisdiction

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Espiritual Nexus regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
